NGF Directors Propose Bylaw Change to Reduce Board, Adopt Financial Review
Board Votes to Reduce Ballets

The Nebraska Grain & Feed Association (NGF) Board of Directors NGF will ask members attending the NGF Annual Meeting on December 16, to amend two important Association bylaws.  The first would amend the Association bylaws to reduce the Board from twelve (12) members to nine (9).  The second would amend the Association bylaws to replace the annual audit with a financial review, with a provision to allow directors or members of the Association to require an audit of the corporation from time to time.  The bylaw changes must be approved by a majority of voting members present at the annual meeting, and at least ten percent of NGF members, either in person or by proxy, shall constitute a quorum to conduct business and to approve or reject the amendments.
 
The Board also clarified the Associations balloting process for Board elections or other Association business requiring a vote of the membership.  Currently, every member elevator, dealer, ethanol plant, and feed mill, including branches receives a ballot.  The Association bylaws are silent regarding any intention for branches to cast a vote. Therefore, the Board voted to mail ballots for director elections or other Association business requiring a vote to member headquarters only.
