OFFICIAL NOTICE FOR NGF 112th ANNUAL MEETING DIRECTORS PROPOSE BYLAW AMENDMENT TO REDUCE BOARD, ADOPT FINANCIAL REVIEW The Nebraska Grain & Feed Association (NGF) is pleased to officially announce the 112th Annual Meeting on December 16, at the Kearney Holiday Inn. The NGF Annual Meeting will take place on the Trade Show floor at approximately 2:00 PM. At the annual meeting, members will be asked to amend two important Association bylaws. The first would amend the Association bylaws to reduce the Board from twelve (12) members to nine (9). The second would amend the Association bylaws to replace the annual audit with a financial review, as well as a provision to allow directors or members of the Association to require an audit of the corporation from time to time. The bylaw changes must be approved by a majority of voting members present at the annual meeting. At least ten percent of NGF members, either in person or by proxy, would constitute a quorum to conduct business and to approve or reject the amendments. If members cannot attend the meeting, headquarters eligible to vote will be allowed to select an NGF Director to vote for them by proxy. The proxy request must be submitted to NGF by phone (402-476-6174), or email on or before December 12, 2008. We will than FAX members a pre numbered proxy. Members can designate who their proxy is, vote on the amendments and FAX back to NGF at 402-476-3401.
